1. Introduction

Welcome to Tezda (“Tezda,” “we,” “us,” or “our”). Tezda is a dynamic online and mobile platform that provides a variety of social networking services, including but not limited to:

  • Instant Messaging (IM): Connect and communicate with friends, family, and communities in real-time.

  • Short-Form Video Sharing: Create, upload, and share engaging short videos with your network.

  • Hubs (Community/Group Features): Join or create specialized communities based on shared interests, hobbies, or professional fields.

  • Marketplace: Buy and sell goods and services within the Tezda community.

  • Other Social Networking Features: Explore additional functionalities designed to enhance your social interaction and content sharing experience.

By accessing or using any of our Services, you agree to be bound by these Terms & Conditions (“Terms”), our Privacy Policy, Community Guidelines, and any other policies referenced herein (collectively, the “Agreements”). These Agreements constitute the entire agreement between you and Tezda regarding your use of the Services and supersede any prior or contemporaneous understandings or agreements, whether written or oral.

If you do not agree with these Terms, including any future modifications, you must not use our Services. Continued use of the Services after any changes to the Terms constitutes your acceptance of the revised Terms.

1.1. No Joint Venture or Partnership

Nothing in these Terms shall be construed as creating a partnership, joint venture, employment relationship, or agency relationship between you and Tezda. You are solely responsible for your interactions with other users and third parties within the Services.

2. Ability to Modify Terms

2.1. Right to Modify

Tezda reserves the right to modify, update, or replace these Terms at any time, without prior notice. These changes may include updates to reflect new features, services, changes in the law, or other operational requirements.

2.2. Effective Date of Changes

Any modifications to the Terms will be effective immediately upon posting on our website or within the Services. The updated Terms will be indicated by updating the "Last Updated" date at the top of this document.

2.3. User Responsibility to Review Terms

It is your responsibility to review these Terms periodically to stay informed about any changes. We recommend reviewing the Terms whenever you access or use our Services to ensure that you are aware of any updates.

2.4. Acceptance of Modified Terms

By continuing to use our Services after any changes have been posted, you agree to be bound by the updated Terms. Your continued use of the Services constitutes your acceptance of the revised Terms.

2.5. Right to Terminate

If you do not agree with the modified Terms, you have the right to:

  • Terminate Your Account: Follow the account termination process outlined in the Termination section.

  • Discontinue Using Our Services: Cease all use of the Services.

Upon termination, you will no longer have access to your account or any associated data, subject to our data retention policies.

 

3. Eligibility

3.1. Age Requirement

  • Minimum Age: You must be at least 13 years old (or the minimum age required in your jurisdiction) to use our Services. By creating an account, you represent and warrant that you meet the minimum age requirement in your jurisdiction.

  • Jurisdictional Compliance: In regions where the minimum age for online services is higher than 13 years (e.g., 16 years under the European Union's General Data Protection Regulation (GDPR) in some member states, or 14 years under China's Minors Online Protection Act), you must meet the higher age requirement applicable in your jurisdiction to use our Services.

3.2. Parental Consent

  • Underage Users: If you are under the minimum age required in your jurisdiction to use our Services, you must obtain parental or guardian consent before creating an account.

  • Responsibility of Guardians: Parents or guardians are responsible for:

    • Monitoring their children's use of the Services.

    • Ensuring compliance with these Terms during their children's activities on the platform.

  • Age Verification: We may require verification of parental consent, which could involve submitting documentation or other forms of proof to confirm that parental consent has been obtained.

3.3. Verification

  • Age Verification Process: To ensure compliance with applicable laws, we may implement an age verification process. This process may include:

    • Providing a valid identification document (e.g., passport, driver's license).

    • Answering security questions or other verification methods.

  • Failure to Verify: Failure to provide accurate and verifiable information during the age verification process may result in:

    • Suspension of your account.

    • Termination of your access to the Services.

  • Data Handling: Any information provided for age verification will be handled in accordance with our Privacy Policy, ensuring the protection and confidentiality of your personal data.

3.4. Legal Capacity

  • Authority to Enter Agreement: By using our Services, you represent and warrant that you have the right, authority, and capacity to enter into these Terms.

  • Binding Agreement: If you are entering into these Terms on behalf of an organization or another individual, you represent that you have the authority to bind that entity or individual to these Terms.

3.5. Compliance with Laws

  • Local Laws: You agree to comply with all applicable local, state, national, and international laws and regulations regarding the use of the Services.

  • Export Restrictions: You agree not to use the Services in violation of any applicable export control laws or regulations.

3.6. Consequences of Non-Compliance

  • Account Suspension or Termination: If we determine that you do not meet the eligibility requirements or have violated any of the terms outlined in this section, we reserve the right to:

    • Suspend your account temporarily.

    • Permanently terminate your account.

  • No Refunds: In cases of account suspension or termination due to ineligibility, no refunds will be provided for any fees paid.

3.7. Updates to Eligibility Requirements

  • Right to Modify Requirements: Tezda reserves the right to update the eligibility requirements as necessary to comply with changes in laws and regulations.

  • User Responsibility: It is your responsibility to stay informed about any updates to the eligibility requirements by regularly reviewing the Terms & Conditions.

 

4. Account Registration and Security

4.1. Account Creation

  • Mandatory Account Creation: Certain features of the Services require you to create an account. To access these features, you must provide accurate, current, and complete information during the registration process.

  • Information Accuracy: You agree to promptly update your account information to keep it accurate, current, and complete. Failure to do so may result in suspension or termination of your account.

  • Account Eligibility: By creating an account, you represent and warrant that you meet all eligibility requirements outlined in the Eligibility section (Section 3).

4.2. Username Policy

  • Unique Usernames: When selecting a username, you agree to choose a unique identifier that does not infringe upon any trademarks, copyrights, or other proprietary rights of third parties.

  • Prohibited Usernames: Usernames that are identical or confusingly similar to existing protected brands, trademarks, or company names are prohibited. Examples include, but are not limited to, names like "Apple," "Microsoft," or any other registered trademarks.

  • Right to Modify Usernames: Tezda reserves the right to change, modify, or remove any username that infringes upon the rights of third parties or violates these Terms without prior notice. Notification of such changes via the email address associated with the account is at Tezda's discretion. In cases where a user does not have an email associated with their account, no notification will be provided.

  • Exclusive Ownership: Any username that you book or register on Tezda becomes the exclusive property of Tezda within the platform. By booking a username, you acknowledge and agree that Tezda holds exclusive rights to that username within Tezda and may change or reclaim it at any time. However, you retain the right to use your username outside of Tezda for purposes such as referring others to the platform.

  • Dispute Resolution for Usernames: In the event of a dispute regarding the ownership or use of a username, Tezda will have the sole discretion to determine the appropriate resolution, which may include modifying or reclaiming the username to protect Tezda’s brand and legal interests.

4.3. Confidentiality

  • Responsibility for Credentials: You are solely responsible for safeguarding your login credentials, including your username and password. It is your responsibility to ensure that your password remains confidential.

  • Prohibition of Sharing Credentials: You must not share your account credentials with any third parties. Tezda will never ask for your password or login information via email or other forms of communication.

  • Secure Access: You agree to take all necessary steps to protect your account from unauthorized access, including using strong passwords and logging out after each session when accessing Tezda from shared or public devices.

4.4. Unauthorized Use

  • Immediate Notification: You agree to immediately notify Tezda at support@tezda.com if you suspect any unauthorized use of your account or if your account credentials have been compromised.

  • Responsibility for Actions: You are responsible for all activities that occur under your account, regardless of whether they are authorized by you. Tezda is not liable for any loss or damage arising from your failure to comply with this section.

  • Account Suspension: Tezda reserves the right to suspend or terminate your account without notice if unauthorized use is suspected or detected, in order to protect your account and the integrity of the Services.

4.5. Account Termination and Data Retention

  • User-Initiated Termination: You may terminate your account at any time by following the account termination process outlined in the Termination section (Section 13).

  • Tezda-Initiated Termination: Tezda reserves the right to suspend or terminate your account at any time, without prior notice, for violations of these Terms or for any other reason deemed necessary to protect the Services or other users.

  • Data Retention Post-Termination: Upon account termination, Tezda will retain certain information for a period of 90 days to comply with legal obligations, resolve disputes, and enforce agreements. During this retention period:

    • Data Deletion: Most of your personal data will be deleted from active databases after 90 days.

    • Anonymized Data: Some information may be retained in an anonymized form, which cannot be used to identify you personally, for purposes such as analytics and improving the Services.

    • No Access: Your account and associated data will no longer be accessible to you once the termination process is complete.

  • Reactivation: If you choose to delete your account and later wish to use our Services again, you will need to create a new account, as the previous account and related data (beyond what is legally required to retain) will not be recoverable.

 

5. User Conduct

When using Tezda’s Services, you agree to adhere to the following guidelines to ensure a safe, respectful, and lawful environment for all users. These rules prohibit certain behaviors and activities to maintain the integrity and quality of the Services.

5.1. Compliance with Laws

  • Obey All Applicable Laws: You must comply with all local, state, national, and international laws and regulations applicable to your use of the Services. This includes, but is not limited to, laws related to privacy, data protection, intellectual property, and harassment.

  • No Illegal Activities: You are prohibited from using the Services to engage in any illegal activities, including the distribution of contraband, promoting criminal behavior, or facilitating unlawful transactions.

5.2. Respect and Civility

  • Harassment and Bullying: You must not engage in any form of harassment, bullying, or intimidation towards other users. This includes sending harassing, threatening, or abusive messages, making derogatory comments, or encouraging others to do so.

  • Hate Speech: Any content that promotes hatred, violence, or discrimination against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic is strictly prohibited.

  • Violence and Threats: You must not post content that encourages, depicts, or glorifies violence, physical harm, or the threat of violence against any person or group.

5.3. Content Standards

  • Objectionable Content: You are prohibited from uploading, sharing, or distributing content that is illegal, defamatory, obscene, sexually explicit, or that promotes violence or discrimination. This includes graphic violence, explicit sexual content, and any material that could be deemed offensive or inappropriate.

  • Protective Content: Content that invades someone’s privacy, such as non-consensual sharing of personal information, private images, or intimate details, is not allowed.

  • Self-Harm and Suicide: Content that promotes or depicts self-harm, suicide, or any form of physical or mental harm is strictly forbidden.

5.4. Intellectual Property Rights

  • Respect for IP: You must not upload, share, or distribute content that infringes upon the copyrights, trademarks, patents, or other proprietary rights of any third party. This includes unauthorized use of copyrighted material, branded logos, or patented technologies.

  • Original Content: Ensure that any content you create and share on Tezda is your own original work or that you have obtained the necessary permissions and licenses to use and distribute it.

5.5. Platform Integrity

  • No Disruptive Activities: You must not interfere with or disrupt the Services or servers/networks connected to the Services. This includes introducing viruses, malware, or any other harmful code, as well as engaging in data mining, scraping, or making excessive requests that impair the functionality of the platform.

  • Automation and Bots: The use of automated systems or bots to access or interact with the Services without our explicit permission is prohibited.

5.6. Impersonation and Misrepresentation

  • Authentic Identity: You must not impersonate any person or entity, including Tezda staff, other users, or public figures. Misrepresenting your affiliation with any organization or individual is strictly forbidden.

  • False Information: Providing false or misleading information about yourself or your intentions while using the Services is not allowed.

5.7. Account Security and Responsibility

  • Secure Your Account: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Do not share your login information with others.

  • Immediate Reporting: If you suspect any unauthorized use of your account or any breach of security, you must immediately notify Tezda at support@tezda.com.

5.8. Enforcement and Consequences

  • Violation of Conduct Standards: Tezda reserves the right to take appropriate action if you violate these conduct standards. This may include:

    • Content Removal: Deleting or disabling access to any content that violates these Terms.

    • Account Suspension or Termination: Temporarily suspending or permanently terminating your account without prior notice.

    • Legal Action: Taking legal action against you for severe or repeated violations.

  • Reporting Violations: Users are encouraged to report any violations of these conduct standards to Tezda through the designated reporting channels available within the Services.

 

6. User-Generated Content

6.1. Ownership of User Content

  • Retention of Rights: You retain all ownership rights in any content (e.g., text, images, videos, audio) you post, send, or otherwise make available through our Services (“User Content”).

  • Responsibility for User Content: You are solely responsible for the User Content you provide and the consequences of posting or publishing it. By providing User Content, you affirm that you have all necessary rights and permissions to share such content.

6.2. License to Tezda

  • Grant of License: By submitting User Content, you grant Tezda a non-exclusive, worldwide, royalty-free, transferable, sub-licensable, irrevocable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services and Tezda’s (and its successors' and affiliates’) business, including for advertising and marketing purposes.

  • License Scope: This license allows Tezda to:

    • Operate the Services: Ensure the proper functioning and improvement of the Services.

    • Promote Tezda: Use User Content in promotional materials, advertisements, and other marketing efforts.

    • Third-Party Use: Share User Content with third-party partners who assist in providing and enhancing the Services.

  • Termination of License: The license granted to Tezda is ongoing and continues even if you delete your User Content or terminate your account, unless prohibited by applicable law.

6.3. User Representations and Warranties

  • Legal Authority: You represent and warrant that you have all rights, power, and authority necessary to grant the above license and to post and distribute User Content without violating the rights of any third party or applicable laws.

  • No Infringement: You agree that your User Content does not infringe upon any intellectual property rights, privacy rights, or other proprietary rights of any third party.

  • Compliance with Policies: Your User Content complies with all applicable policies, including the Community Guidelines and Privacy Policy.

6.4. Content Review and Enforcement

  • Monitoring Rights: Tezda reserves the right, but has no obligation, to monitor, review, remove, or modify any User Content that violates these Terms or is otherwise objectionable, at our sole discretion.

  • Prohibited Content: We will remove or restrict access to User Content that:

    • Violates Laws: Includes content that is illegal, defamatory, hateful, obscene, sexually explicit, or that promotes violence or discrimination.

    • Infringes IP Rights: Includes content that violates someone else’s copyrights, trademarks, patents, or other proprietary rights.

    • Harmful Content: Includes content that encourages self-harm, suicide, or any form of physical or mental harm.

  • Reporting Violations: Users can report violations of these standards through the designated reporting tools available within the Services. Tezda will investigate and take appropriate action as necessary.

6.5. Third-Party Content

  • External Links and Content: The Services may contain links to third-party websites or services. Tezda is not responsible for the content, privacy policies, or practices of any third-party sites or services.

  • No Endorsement: Links to third-party sites do not constitute an endorsement by Tezda of those sites or the information, products, or services provided therein.

6.6. Tezda’s Rights Over User Content

  • Content Modification: Tezda reserves the right to modify, transform, or create derivative works from User Content to improve the Services or for other business purposes.

  • Content Retention: Tezda may retain copies of User Content for legal, business, or operational purposes, even after deletion by the user.

6.7. No Exclusive Rights

  • Non-Exclusive License: The license granted to Tezda is non-exclusive, meaning you retain the right to use, distribute, and modify your User Content as you see fit, subject to the rights granted to Tezda in these Terms.

6.8. Enforcement and Consequences

  • Violation of Content Standards: Tezda may take action including removal of content, suspension or termination of accounts, and legal action against users who violate these standards.

  • Legal Action: Severe or repeated violations may result in Tezda seeking legal remedies, including damages and injunctive relief.

 

7. Content Guidelines and Community Standards

Tezda is committed to fostering a safe, respectful, and engaging community. To achieve this, we establish clear Content Guidelines and Community Standards that govern user behavior and content on our platform.

7.1. Community Guidelines

  • Separate Document: We maintain a separate document titled Community Guidelines that outlines acceptable behavior, content standards, and moderation policies within Tezda’s Services.

  • Incorporation by Reference: By using our Services, you agree to comply with these Community Guidelines, which are incorporated by reference into these Terms.

7.2. Acceptable Behavior

  • Respect and Civility: Engage with other users in a respectful and courteous manner. Avoid offensive language, personal attacks, and harassment.

  • Constructive Engagement: Contribute positively to discussions and interactions within Hubs and other community features.

7.3. Prohibited Content

  • Illegal Content: Do not post, share, or distribute content that is illegal, including but not limited to hate speech, defamatory statements, obscene material, sexually explicit content, or content that promotes violence or discrimination.

  • Intellectual Property Infringement: Ensure that all User Content you post does not violate the intellectual property rights of others. This includes unauthorized use of copyrighted material, trademarks, patents, or other proprietary information.

  • Privacy Violations: Do not share personal information of others without their explicit consent. This includes addresses, phone numbers, financial information, or any other sensitive data.

7.4. Moderation Policies

  • Content Monitoring: While we have no obligation to monitor all User Content, we reserve the right to review, remove, or modify any content that violates these Guidelines or is deemed objectionable at our sole discretion.

  • Reporting Violations: Users are encouraged to report any content or behavior that violates these Guidelines using the reporting tools available within the Services.

7.5. Consequences of Violations

  • Content Removal: We may remove or restrict access to any User Content that violates these Guidelines.

  • Account Actions: Violations may result in warnings, temporary suspensions, or permanent termination of your Tezda account, depending on the severity and frequency of the infractions.

  • Legal Action: In cases of severe or repeated violations, Tezda may pursue legal remedies to protect our platform and community.

7.6. Updates to Community Guidelines

  • Right to Update: Tezda reserves the right to update these Community Guidelines at any time. No changes will be communicated to users.

  • User Responsibility: It is your responsibility to stay informed about any updates to the Community Guidelines by regularly reviewing this section and the separate Community Guidelines document.

 

8. Hubs (Communities/Groups)

Hubs are specialized communities within Tezda that allow users to connect and engage around specific topics, interests, or professional fields. This section outlines the creation, administration, and moderation of Hubs to ensure they remain safe and compliant with Tezda’s Terms.

8.1. Creation and Administration

  • Hub Creation: Users may create or join Hubs based on specific topics or interests. To create a Hub, you must provide accurate and relevant information about its purpose and guidelines.

  • Hub Administration: Each Hub is managed by one or more Hub Admins or Moderators who are responsible for:

    • Ensuring Compliance: Making sure all activities within the Hub adhere to Tezda’s Terms, Community Guidelines, and any specific Hub rules.

    • Facilitating Engagement: Encouraging positive interactions and fostering a supportive community environment.

  • Selection of Admins: Hub Admins are typically experienced and trusted members of the community. Tezda reserves the right to appoint or remove Hub Admins as necessary.

8.2. Moderation Tools

  • Content Management: Hub Admins have access to tools that allow them to:

    • Remove or Edit Content: Delete or modify posts, comments, or media that violate community standards or Hub rules.

    • Restrict or Remove Members: Temporarily suspend or permanently remove members who engage in prohibited behaviors or violate Hub guidelines.

  • Reporting Mechanisms: Hub Admins can report violations to Tezda’s moderation team for further action if necessary.

8.3. Tezda’s Intervention

  • Platform Oversight: Tezda reserves the right to intervene in any Hub to:

    • Address Violations: Remove content or restrict access if a Hub is found to be violating Tezda’s Terms, Community Guidelines, or applicable laws.

    • Reassign Admin Roles: Change or remove Hub Admins who are not effectively managing their communities or who violate platform policies.

  • Direct Action: In severe cases, Tezda may shut down entire Hubs to protect the community and maintain the integrity of the Services.

8.4. Creation of Official Hubs

  • Official Tezda Hubs: Tezda may create and manage official Hubs for specific purposes, events, or announcements. These Hubs are directly controlled by Tezda and have additional oversight.

  • User Interaction: Users can participate in Official Hubs similarly to user-created Hubs but must adhere to stricter guidelines as determined by Tezda.

8.5. Guidelines for Hub Creation

  • Purpose and Scope: Clearly define the purpose and scope of the Hub to ensure it serves a specific interest or community need.

  • Hub Rules: Establish and enforce specific rules within each Hub that align with Tezda’s overall Community Guidelines and Terms.

  • Content Relevance: Ensure that all content within the Hub remains relevant to its defined purpose and interests.

8.6. Support for Hub Admins

  • Training and Resources: Tezda may provide training, resources, and support to Hub Admins to help them effectively manage their communities.

  • Feedback Mechanisms: Hub Admins can provide feedback to Tezda regarding community needs, feature requests, or policy clarifications.

8.7. Termination of Hubs

  • Voluntary Termination: Hub Admins can choose to dissolve their Hub voluntarily by following the termination process outlined in the Termination section (Section 13).

  • Involuntary Termination: Tezda may terminate Hubs that consistently violate platform policies, disrupt the community, or fail to comply with operational requirements.

 

9. Short Videos and Instant Messaging (IM) Features

Tezda offers specialized features to enhance your social networking experience, including Short Videos and Instant Messaging (IM). This section outlines the terms and guidelines governing the use of these features to ensure a safe, respectful, and engaging environment for all users.

9.1. Short Videos

9.1.1. Creation and Sharing
  • Content Creation: You can create, upload, and share short-form videos using Tezda’s platform. These videos can include various formats such as animations, live-action footage, and edited clips.

  • Quality Standards: Ensure that your videos maintain a standard of quality that aligns with community expectations and platform capabilities. Avoid excessively large file sizes or formats that may disrupt the user experience.

9.1.2. Compliance with Terms and Community Guidelines
  • Adherence to Policies: All short videos must comply with these Terms, the Community Guidelines, and any additional policies specific to video content. Non-compliance may result in content removal or account sanctions.

  • Respect for Intellectual Property: Ensure that any content used within your videos (e.g., music, images, footage) does not infringe upon the intellectual property rights of others. Obtain necessary permissions or licenses for third-party content.

9.1.3. Content Standards
  • Prohibited Content: You must not create or share videos that:

    • Illicit Content: Promote or depict illegal activities.

    • Defamatory Material: Contain false statements that harm the reputation of individuals or organizations.

    • Obscene or Sexual Content: Include explicit sexual content or material deemed offensive.

    • Violence and Hate: Promote violence, hatred, or discrimination against individuals or groups based on protected characteristics.

    • Self-Harm and Suicide: Videos that encourage or depict self-harm, suicide, or any form of physical or mental harm are strictly prohibited.

9.1.4. Licensing and Ownership
  • User Ownership: You retain ownership of the videos you create and share. However, by uploading videos, you grant Tezda a non-exclusive, worldwide, royalty-free, transferable, sub-licensable, irrevocable license to use, reproduce, distribute, prepare derivative works of, display, and perform your videos in connection with the Services and Tezda’s business operations.

  • Right to Modify: Tezda reserves the right to modify or remove any video that violates these Terms or Community Guidelines without prior notice.

9.1.5. Prohibited Activities
  • Manipulated Content: Do not create videos that manipulate or alter content in misleading ways, such as deepfakes or other deceptive editing techniques.

  • Spam and Scams: Refrain from uploading videos that serve as spam, phishing attempts, or scams intended to deceive or defraud users.

  • Privacy Violations: Avoid sharing videos that invade the privacy of others, including non-consensual sharing of private moments or information.

9.2. Instant Messaging (IM) Features

9.2.1. Private and Group Chats
  • Private Chats: Tezda’s IM allows you to engage in private one-on-one conversations with other users. These chats are intended for personal and direct communication.

  • Group Chats: You can create or join group chats to communicate with multiple users simultaneously. Group chats can be centered around specific topics, interests, or communities.

9.2.2. Privacy and Security
  • Confidentiality: While Tezda implements security measures to protect your communications, you are responsible for maintaining the confidentiality of your chat content. Avoid sharing sensitive personal information within chats.

  • End-to-End Encryption: Tezda provides end-to-end encryption for IM features to ensure that only you and the intended recipients can read the messages. However, we cannot guarantee that end-to-end encryption will always be available or that messages will remain secure against unauthorized access. Therefore, Tezda does not guarantee the absolute security of your communications.

9.2.3. Prohibited Use
  • Harassment and Abuse: Do not use IM features to harass, threaten, or abuse other users. This includes sending unsolicited messages, spamming, or engaging in bullying behavior.

  • Illegal Activities: Refrain from using IM to facilitate or discuss illegal activities, including the sharing of contraband, coordinating criminal behavior, or distributing illicit content.

  • Impersonation and Misrepresentation: Do not impersonate other users, public figures, or Tezda staff within IM conversations. Misrepresenting your identity or affiliation is strictly prohibited.

9.2.4. Monitoring and Enforcement
  • Content Monitoring: Tezda reserves the right to monitor IM conversations to detect and prevent violations of these Terms and Community Guidelines. However, Tezda does not actively monitor all private communications unless required by law or in response to reported violations.

However, we do not access the content of your private messages except as necessary to comply with legal obligations or in cases of policy violations.

  • Deletion of Chats: You can delete your chat history from your account. Tezda will remove your messages from its active databases, but some residual copies may remain in backup systems for a limited time in accordance with our Data Retention policies.

9.2.6. Third-Party Integrations
  • External Services: If Tezda integrates with third-party IM services or plugins, these integrations are subject to the terms and privacy policies of those third parties. Tezda is not responsible for the practices or content of external IM services.

12.2. Billing

  • Payment Methods: We may bill you via the payment method you provide, such as credit/debit cards, PayPal, or other approved payment systems. By providing your payment information, you authorize Tezda to charge the applicable fees using your chosen payment method.

  • Automatic Renewals: Subscription plans may automatically renew at the end of each billing cycle unless you cancel the subscription before the renewal date. You are responsible for maintaining accurate billing information to ensure uninterrupted access to premium features.

12.3. Refund Policy

  • No Refunds: Unless otherwise required by law, paid fees are non-refundable. This includes fees for premium features, subscriptions, and in-app purchases.

  • Updating Payment Information: It is your responsibility to ensure that your payment information is current and accurate. Tezda is not liable for any interruptions in service resulting from outdated or incorrect payment details.

 

13. Termination

Termination outlines the rights of both users and Tezda to end the account relationship and the subsequent handling of data and access.

13.1. User-Initiated Termination

  • Your Right to Terminate: You may terminate your account at any time if you disagree with these Terms or any modifications made to them. To do so, you can discontinue all use of the Services and either:

    • Use the In-App Account Deletion Tools: Follow the instructions provided within the app to delete your account.

    • Email Us: Send a request to support@tezda.com to request deletion of your account. Please note that this process may take a longer time to complete.

13.2. Tezda-Initiated Termination

  • Right to Terminate: Tezda reserves the right to suspend or terminate your access to all or part of the Services at any time, with or without notice, if we believe you have violated these Terms or for any other business or operational reason.

  • Consequences of Termination: Upon termination by Tezda:

    • Access Restrictions: You will no longer have access to your account or any associated data.

    • Licenses and Rights: All licenses and rights granted under these Terms immediately cease.

    • Data Handling: Your personal data will be handled in accordance with our Privacy Policy and the data retention procedures outlined below.

13.3. Data Deletion and Retention

13.5. Reactivation

  • New Account Creation: If you choose to delete your account and later wish to use our Services again, you will be required to create a new account, as your previous account and related data (beyond what is legally required to retain) will no longer be accessible or recoverable.

  • Non-Refundable Fees: In cases of account suspension or termination due to ineligibility or violation of these Terms, no refunds will be provided for any fees paid.

14.1. As-Is / As-Available

  • No Warranties: The Services are provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, whether express, implied, statutory, or otherwise. Tezda expressly disclaims all warranties, including but not limited to:

    • Merchantability: The Services are fit for the general purpose for which they are provided.

    • Fitness for a Particular Purpose: The Services are suitable for any specific purpose you may have in mind.

    • Non-Infringement: The Services do not infringe upon any third-party intellectual property rights.

    • Title: Tezda has the right to provide the Services as described.

14.2. No Guarantee

  • Uninterrupted Services: We do not guarantee that the Services will be uninterrupted, secure, or error-free.

  • Accuracy and Reliability: Tezda does not warrant that any content available on the Services is accurate, complete, or reliable. The content is provided for informational purposes only and should not be solely relied upon.

14.3. Third-Party Content

  • No Responsibility: Tezda is not responsible for the conduct, content, or services of third parties, including other users, external websites, or linked services.

  • No Endorsement: The inclusion of any links to third-party websites or resources does not imply endorsement or recommendation by Tezda of the views expressed within them.

 

15. Limitation of Liability

To the fullest extent permitted by applicable law, Tezda limits its liability in connection with your use of the Services. This section details the extent and limitations of Tezda's liability.

15.1. Exclusion of Indirect Damages

Tezda shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of Profits: Any loss of revenue or business opportunities.

  • Data Loss: Any loss or corruption of data.

  • Use or Inability to Use: Issues related to accessing or using the Services.

  • Goodwill: Any loss of business reputation or customer relationships.

  • Other Intangible Losses: Any other non-monetary losses arising from your use of the Services.

These exclusions apply whether the alleged liability arises from contract, tort (including negligence), strict liability, or any other legal theory, even if Tezda has been advised of the possibility of such damages.

15.2. Aggregate Liability

a. Paid Users

For users who have paid for any Services, Tezda's total liability arising out of or related to these Terms or the Services shall be limited to the greater of:

  • The total amount you have paid directly to Tezda for the Services in the twelve (12) months preceding the event that gave rise to the claim, or

  • $100 USD (or the equivalent in your local currency).

b. Free Users

For users who have not paid any fees or charges to Tezda, Tezda's total liability arising out of or related to these Terms or the Services shall be zero ($0).

15.3. Exclusion of User-to-User Transaction Liability

a. Third-Party Transactions

Tezda is not responsible for any transactions between users on the platform. This includes, but is not limited to:

  • Marketplace Purchases: Buying or selling goods and services within the Marketplace.

  • Hub Payments: Payments made within Hubs for goods, services, or other purposes.

  • Group Transactions: Any financial interactions within group chats or communities.

  • Other Payments: Any other forms of payment between users facilitated by the Tezda platform.

b. No Liability for Third-Party Payments

Any money you spend using Tezda’s platform to pay other users for goods, services, or any other purposes is entirely between you and the other party involved in the transaction. Tezda does not facilitate, endorse, or guarantee these transactions and shall not be held liable for any disputes, losses, or damages arising from such transactions.

c. Exclusion from Aggregate Liability Calculation

Amounts paid to other users through the Tezda platform (e.g., Marketplace purchases, Hub payments, group transactions) are excluded from the total amount paid to Tezda when determining the aggregate liability. Only direct payments made to Tezda for its Services are considered in this calculation.

15.4. Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations of liability may not apply to you. Tezda's liability shall be limited to the maximum extent permitted by law in those jurisdictions.

15.5. No Liability for Third-Party Services

Tezda shall not be liable for any damages, losses, or expenses arising from your use of or reliance on any third-party services, content, or websites linked to or from the Services.

15.6. No Liability for Data Loss

Tezda is not responsible for any loss of data, including but not limited to:

  • Content: Loss of posts, videos, messages, or other content stored on the Services.

  • Personal Data: Any other personal information that may be lost or compromised.

It is your responsibility to maintain backups of your data. Tezda does not guarantee the security or integrity of data stored on the platform.

 

16. Indemnification

You agree to defend, indemnify, and hold harmless Tezda, its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, or expenses (including reasonable legal fees and costs) arising from:

16.1. Your Use or Misuse of the Services

  • Any unauthorized or improper use of the Services.

  • Actions that violate these Terms or applicable laws.

16.2. Your Violation of These Terms or Any Applicable Law

  • Breaching any provision of these Terms.

  • Engaging in activities that are illegal or infringing on the rights of others.

16.3. Your Violation of Any Third-Party Rights

  • Infringement or violation of any third-party intellectual property rights, privacy rights, or other proprietary rights through your User Content or use of the Services.

 

17. Dispute Resolution

17.1. Informal Resolution

Before initiating any formal dispute resolution process, you agree to first attempt to resolve any dispute, claim, or controversy ("Dispute") arising out of or relating to these Terms or your use of the Services through informal means. To do so:

  • Contact Us: You must contact us at legal@tezda.com to notify us of the Dispute.

  • Good Faith Effort: Both parties agree to engage in a good faith effort to resolve the Dispute amicably and promptly within sixty (60) days from the date the Dispute is raised.

  • No Obligation to Resolve: Neither party is obligated to resolve the Dispute during this informal process, but both parties commit to sincere attempts to find a mutually acceptable solution.

17.2. Arbitration

If the Dispute is not resolved through informal resolution within the sixty (60) days specified above, the following arbitration process will apply:

17.2.1. Agreement to Arbitrate
  • Binding Arbitration: You and Tezda agree to resolve any Dispute by binding arbitration rather than through court litigation.

  • Scope of Arbitration: This arbitration agreement applies to any Dispute arising out of or relating to these Terms, the Services, or your use of the Services, whether based on contract, tort, statute, regulation, or any other legal theory.

17.2.2. Arbitration Rules and Body
  • Rules: The arbitration shall be conducted in accordance with the London Court of International Arbitration (LCIA) Rules, unless otherwise required by law.

  • Arbitration Body: The arbitration will be administered by the LCIA. If LCIA is not available, another mutually agreed-upon arbitration body in the United Kingdom shall be used.

17.2.3. Location and Language
  • Venue: The arbitration shall take place in London, England.

  • Language: The arbitration proceedings shall be conducted in English.

17.2.4. Arbitrator Selection and Conduct
  • Single Arbitrator: The arbitration shall be conducted by a single arbitrator with expertise in relevant areas of law.

  • Confidentiality: All aspects of the arbitration, including any hearings, documents, and decisions, shall be confidential and not publicly disclosed unless required by law.

17.2.5. Costs and Fees
  • Allocation of Costs: Each party shall bear its own costs and expenses incurred in connection with the arbitration, including legal fees, unless the arbitrator determines otherwise.

  • Arbitrator Fees: The fees of the arbitrator and the administration fees of the arbitration body shall be paid by the party initiating arbitration, unless the arbitrator decides to allocate them differently.

  • Exclusion of Legal Charges: Tezda shall not be liable for any legal charges, fees, or costs incurred by you in connection with the arbitration process.

17.2.6. Enforcement of Award
  • Final and Binding: The arbitration award shall be final and binding on both parties.

  • Judgment on Award: Judgment on the arbitration award may be entered in any court of competent jurisdiction.

17.3. Waiver of Class Actions

  • Individual Basis: You agree to resolve any Dispute with Tezda on an individual basis only. You waive any right to participate in a class action or representative proceeding against Tezda.

  • No Consolidated Claims: You also waive any right to consolidate your claims with those of others in any legal action or proceeding.

17.4. Waiver of Alternative Jurisdictions

  • Exclusive Jurisdiction: You agree not to bring any action in any other jurisdiction, including but not limited to the courts of your domicile or residence, and waive any right to a trial by jury or to participate in a class action.

17.5. Compliance with International Laws

  • Enforceability: Notwithstanding the above, if you are accessing the Services from a country where the above provisions are deemed unenforceable, then those provisions shall be deemed modified to the extent necessary to comply with such local laws, and the remainder of these Terms shall remain in full force and effect.

17.6. Limitation of Claims to Initial Paid-Up Capital

  • Cap on Claims: Your right to seek any remedy or claim against Tezda for any Dispute shall be limited to the initial paid-up capital of Tezda at the time the claim arises. Under no circumstances shall Tezda be liable for any amounts exceeding its initial paid-up capital.

 

18. Governing Law and Jurisdiction

18.1. Governing Law

These Terms, and any claim or dispute that arises from or relates to these Terms, shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

18.2. Exclusive Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the courts of England and Wales, and you hereby consent to the personal jurisdiction of such courts.

18.3. Arbitration Agreement

  • Informal Resolution: Before initiating any formal legal action, you agree to first contact us at legal@tezda.com to attempt to resolve the dispute informally.

  • Binding Arbitration: If the dispute cannot be resolved informally within sixty (60) days, it shall be resolved through binding arbitration administered by the London Court of International Arbitration (LCIA) in accordance with its rules. The arbitration shall be conducted in English in London, England.

  • Waiver of Class Actions: You and Tezda agree to resolve any disputes on an individual basis and waive any right to participate in a class or representative action.

18.4. Waiver of Alternative Jurisdictions

You agree not to bring any action in any other jurisdiction, including but not limited to the courts of your domicile or residence, and waive any right to a trial by jury or to participate in a class action.

18.5. Compliance with International Laws

Notwithstanding the above, if you are accessing the Services from a country where the above provisions are deemed unenforceable, then those provisions shall be deemed modified to the extent necessary to comply with such local laws, and the remainder of these Terms shall remain in full force and effect.

 

19. Severability

19.1. Severability Clause

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that specific provision shall be modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the provision shall be severed from these Terms.

19.2. Intent of the Parties

The intent of the parties is that each provision of these Terms is independent of the others. Therefore, the severability of any one provision shall not impact the enforceability or validity of any other provision.

19.3. Compliance with Applicable Law

  • Tezda's Rights: Tezda's failure to enforce any provision of these Terms at any time shall not be construed as a waiver of Tezda's right to enforce such provision in the future.

  • Individual Provisions: The waiver of any breach or default of a particular provision shall not be construed as a waiver of any subsequent breach or default of the same or any other provision.

20.2. No Partial Waivers

Any future modifications or amendments to these Terms & Conditions or the referenced policies will not affect the acknowledgment that these documents constitute the entire agreement between you and Tezda.
